Terms and Conditions

1.1 These General Terms and Conditions (GTC) govern the use of the platform easy-leasy.ch and all services that Easy Leasy AG, Erlenweg 10, 6312 Steinhausen ("Easy Leasy"), provides to its users. 1.2 In these GTC: - "Transferor": the current leaseholder who wants to hand over their running lease contract and creates a listing for it. - "Transferee": the person or company that wants to take over a listed vehicle and submits an inquiry for it. - "Leasing company": the bank or finance company holding the lease contract. - "Takeover": the leasing company releases the transferor from their lease contract because a transferee introduced through Easy Leasy takes over the vehicle. - "Introduced contact": any person Easy Leasy has named to the transferor as an interested party, and any transferor whose vehicle Easy Leasy has confirmed to a transferee as available. 1.3 By registering, creating a listing, submitting an inquiry or ordering an additional service, the user accepts these GTC. 1.4 Easy Leasy may amend these GTC. The new version is published on the platform and applies from then on to new listings, inquiries and orders. For an ongoing mediation, the version the transferor accepted when confirming the mediation terms under Art. 4.4 applies. 1.5 The platform is intended for persons resident or domiciled in Switzerland and for vehicles with a lease contract held by a Swiss leasing company.

2.1 Easy Leasy operates a platform for the takeover of running lease contracts. Easy Leasy brings transferors and transferees together and supports both through to the takeover. This includes the listing platform, receiving and vetting inquiries, the credit check of the transferee, clarifications with the leasing company, templates and guides, and the coordination of viewing and handover. 2.2 Towards the transferor, Easy Leasy acts as a broker within the meaning of Art. 412 et seq. of the Swiss Code of Obligations. Easy Leasy owes its efforts to mediate, not the success. Whether a takeover comes about is decided solely by the leasing company. 2.3 Easy Leasy is neither the lessor nor the seller of the vehicle, grants no credit, and does not become a party to the lease contract or to any agreement between transferor and transferee. 2.4 During the mediation, communication between transferor and transferee runs through Easy Leasy. Easy Leasy names an interested party to the transferor only once the check under Art. 3.5 has been made and the transferor has confirmed the mediation terms under Art. 4.4. 2.5 Paid additional services, such as the Spotlight listing or the Technical Check, are governed by Art. 7. They are optional and never a condition for a takeover.

3.1 Listing is free of charge. A listing may only be created by the lessee of the vehicle or by a person authorised by the lessee. 3.2 The details in the listing on the vehicle, the lease contract, mileage, condition and damage must be complete and truthful. Changes must be kept up to date, in particular the mileage, damage and availability. Easy Leasy may adjust, hide or delete incomplete, misleading or outdated listings without prior notice. 3.3 A listing is no assurance that the leasing company will approve a takeover or that the listed conditions will be taken over unchanged. 3.4 Whoever submits an inquiry expresses serious interest in a takeover and provides truthful information about their person, residence and financial situation. Easy Leasy vets inquiries and passes only vetted interested parties on to the transferor. 3.5 After an inquiry, Easy Leasy is entitled to check the transferee's creditworthiness through a credit agency (CRIF). The basis is the legitimate interest of Easy Leasy and the transferor in pursuing only viable takeovers. The result serves the mediation only. Easy Leasy tells the transferor only whether an interested party has been vetted, not the content of the report. The credit capacity check under the Swiss Consumer Credit Act is carried out by the leasing company itself; the check by Easy Leasy does not replace it. 3.6 Inquiry, vetting and viewing are free of charge for the transferee.

4.1 For the mediation, the transferor owes Easy Leasy a success fee of CHF 500 per vehicle. It is owed once and becomes due as soon as the leasing company confirms that the transferor has been released from their lease contract and this takeover results from an introduced contact. 4.2 The success fee is tied to the transferor's release from their lease contract, not to the form of the takeover. It is therefore also owed if an introduced contact releases the transferor from the contract in another way, for example by purchasing the vehicle. 4.3 The transferee owes Easy Leasy nothing for the mediation. The transferee bears the leasing company's fees for the check and the transfer, the costs of the road traffic office, and any down payment agreed with the transferor. 4.4 Before Easy Leasy names a vetted interested party to the transferor, the transferor confirms the mediation terms for their vehicle online: success fee and due date, invoicing, non-circumvention, appointment rules, and their duties of accuracy and cooperation. The confirmation is made through a personal link, is recorded with a timestamp and confirmed by email. It applies to all interested parties for this vehicle. Without the confirmation, Easy Leasy names no interested party. 4.5 Easy Leasy issues the invoice on the day the leasing company confirms the takeover. The invoice is payable within 10 days. In case of late payment, the transferor owes default interest of 5% per year and a reminder fee of CHF 20 per reminder; collection costs are borne by the transferor. 4.6 If no takeover comes about, the transferor owes Easy Leasy nothing. Ordered additional services under Art. 7 and the no-show fee under Art. 6 remain reserved. 4.7 All amounts are in Swiss francs and include any applicable value added tax.

5.1 Transferor and transferee undertake not to deal with an introduced contact in circumvention of Easy Leasy, neither directly nor through third parties and regardless of the legal form. This obligation applies for 12 months from the introduction of the contact and survives the deletion of the listing or the termination of the user relationship. 5.2 Circumvention includes in particular an introduced transferee taking over or purchasing the vehicle without Easy Leasy being informed, or the parties structuring the takeover so as to avoid the success fee. 5.3 Whoever breaches the non-circumvention obligation owes Easy Leasy a contractual penalty of CHF 2'000. For the transferor, the success fee remains owed in addition. Easy Leasy reserves the right to claim further damages.

6.1 Easy Leasy coordinates viewings and handovers. An appointment is deemed agreed once all participants have confirmed it in text form. 6.2 A confirmed appointment that Easy Leasy attends on site may be cancelled or rescheduled free of charge up to 24 hours before it starts. The cancellation is made in text form to Easy Leasy. 6.3 Whoever does not attend such an appointment and does not cancel in time owes Easy Leasy a no-show fee of CHF 150 for travel and time. It applies equally to transferors and transferees. Cancellations for reasons the person is not responsible for and can substantiate are exempt.

7.1 Easy Leasy offers paid additional services, namely the Spotlight listing and the Technical Check. Scope and prices are shown on the pricing page. Payment is made in advance by card or TWINT through the payment provider Stripe. 7.2 The Technical Check is carried out by a partner garage. The report reflects the condition of the vehicle on the day of inspection and is not a warranty. Easy Leasy is not liable for the partner garage's findings. 7.3 If Easy Leasy cannot provide a paid additional service, the amount is refunded. There is no right to a refund if the user does not make use of the service or hides, deletes or marks the listing as taken over during a booked Spotlight period. 7.4 Swiss law provides no general right of withdrawal for services ordered online. Easy Leasy starts performance upon payment. 7.5 Easy Leasy awards the "TOP" quality label at its own discretion. It cannot be purchased.

8.1 The user is solely responsible for all content they upload to or publish on the platform, in particular texts, images and documents ("user content"). 8.2 The user warrants that they hold the necessary rights to the user content, that it does not infringe the rights of third parties, that no persons are depicted without their consent, and that the content does not violate applicable law. 8.3 By uploading, the user grants Easy Leasy the non-exclusive, royalty-free right to use and reproduce the user content for presenting and marketing the listing on the platform, in search engines and in Easy Leasy's own channels. The right ends with the deletion of the listing; backup copies and content already published remain unaffected. 8.4 Easy Leasy does not systematically review user content and may remove it at any time if an infringement is suspected or there are objective reasons to do so. The responsible user holds Easy Leasy harmless from third-party claims arising from user content.

9.1 Users use the platform only for its intended purpose. Prohibited are in particular false or misleading information, listings without authorisation, contacting other users outside the mediation process for the purpose of circumvention, automated queries, and the copying of listing data. 9.2 Transferors and transferees cooperate in the mediation: they respond within a reasonable time, provide the documents required for the takeover, and inform Easy Leasy without delay of changes, of contact with the leasing company and of its decision. On request, the transferor grants Easy Leasy a power of attorney to inquire about the status of the takeover with the leasing company. 9.3 Easy Leasy may suspend or delete user accounts and listings without prior notice in the event of breaches of these GTC or a reasonable suspicion of misuse.

10.1 Easy Leasy mediates and supports. Easy Leasy is not liable for the accuracy and completeness of the information in listings and inquiries, for the condition of the vehicle, for the creditworthiness and contractual fidelity of the other party, for the decision of the leasing company, or for whether a takeover comes about or fails. 10.2 Easy Leasy is not liable for services of third parties that it refers to or arranges, such as the credit agency, the inspection garage or the payment provider. 10.3 Easy Leasy strives for high availability of the platform but does not guarantee it. Easy Leasy is not liable for interruptions due to maintenance, malfunctions or force majeure. 10.4 To the extent permitted by law, Easy Leasy's liability is limited to intent and gross negligence. Liability for indirect damage, consequential damage and lost profit is excluded.

11.1 Easy Leasy processes personal data in accordance with the Swiss Data Protection Act. Details, including on the credit check through CRIF and on the disclosure of data to the leasing company, are set out in the privacy policy on easy-leasy.ch. 11.2 Easy Leasy stores the confirmation of the mediation terms under Art. 4.4 with timestamp, name, address and technical details as evidence of the agreement.

12.1 The user relationship begins with registration or first use and runs for an indefinite period. Users may delete their account at any time. Easy Leasy may terminate the user relationship at any time in text form. 12.2 Termination does not affect ongoing mediations. The success fee under Art. 4 and the non-circumvention obligation under Art. 5 continue to apply to introduced contacts during the 12 months under Art. 5.1. 12.3 Easy Leasy may hide or delete listings whose lease contract has expired, which are no longer up to date, or whose transferor does not respond to queries.

The design, texts, logos, software and database of the platform are the property of Easy Leasy or licensed to it and are protected by copyright. Any use beyond the intended use, in particular the extraction, copying or commercial exploitation of listing data, is prohibited without Easy Leasy's written consent.

14.1 Swiss law applies, to the exclusion of its conflict-of-law rules. 14.2 The place of jurisdiction is Zug. Mandatory statutory places of jurisdiction for consumers remain reserved. 14.3 Should any provision of these GTC be invalid, the remaining provisions remain valid. The invalid provision is replaced by a permissible provision that comes closest to its purpose. 14.4 These GTC are available in German and English. In case of discrepancies, the German version prevails.
